1. Acceptance of Terms

By accessing or using Jennifer CMS ("the Service"), operated by Carpe Diem Creations ("the Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

The Company reserves the right to modify these terms at any time. Continued use of the Service after changes constitutes acceptance of the updated terms.

2. Eligibility

You must be at least 18 years of age to use the Service. Accounts found to be operated by individuals under 18 will be terminated and associated data deleted.

3. Description of Service

Jennifer CMS is a web-based content management system for generating and managing UGC-style TikTok slideshow content. The Service enables users to configure app profiles, automatically generate slideshow content, manage content through a review workflow, and publish directly to TikTok.

The Service is not intended to provide professional marketing or legal advice. Users bear full responsibility for content published through the Service.

4. User Accounts and Registration

Account Creation: You must provide accurate information when creating an account, maintain the confidentiality of your credentials, and accept responsibility for all activity under your account.

Account Security: You are responsible for safeguarding your account access and must notify us immediately of any unauthorized use.

5. Data and Privacy

Your data, including uploaded images, app configurations, and generated content, is stored securely. Data handling is governed by our Privacy Policy.

You may delete your account and associated data at any time. Upon deletion, the Company will remove your personal information within 30 days.

6. Acceptable Use

Permitted Uses: Using the Service for its intended purpose of generating, managing, and publishing content to TikTok in compliance with applicable laws.

Prohibited Uses:
  • Any illegal activity or violation of applicable laws
  • Violating TikTok's Terms of Service or Community Guidelines
  • Publishing content that infringes on intellectual property rights
  • Using generated content to mislead, deceive, or defraud
  • Unauthorized access to the Service or its systems
  • Interfering with the Service's operation or other users' access
  • Reverse engineering or attempting to extract source code
  • Automated access beyond the Service's intended use
  • Sharing account credentials with third parties

7. Payment Terms

The Service is currently provided at no cost. The Company reserves the right to introduce paid features or subscription plans in the future, with reasonable notice provided to existing users.

8. Generated Content

The Service automatically generates text, images, and other content on your behalf. You acknowledge and agree that:

  • Generated content may not always be accurate, appropriate, or suitable for your intended purpose
  • You are solely responsible for reviewing all generated content before publishing
  • The Company does not guarantee that generated content will be free from errors, biases, or intellectual property concerns
  • You assume full responsibility for any content you approve and publish through the Service

9. Intellectual Property

Service Ownership: The Service and its original content, features, and functionality are owned by Carpe Diem Creations and are protected by international intellectual property laws.

User Content: You retain ownership of content you upload to the Service. By using the Service, you grant the Company a limited license to process your content solely for the purpose of providing the Service.

Generated Content: Content produced by the Service may be used by you for your intended purposes, subject to these terms and applicable third-party terms.

10. Disclaimers and Limitations

Service Availability: The Service is provided on an "as available" basis. Continuous, uninterrupted availability is not guaranteed. Downtime may occur for maintenance, updates, or technical issues.

Warranty Disclaimer: The Service is provided "as is" without warranties of any kind, whether express or implied. The Company does not guarantee error-free operation or suitability for specific requirements.

Liability Limitation: To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of the Service.

11. Indemnification

You agree to indemnify and hold harmless Carpe Diem Creations and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these terms.

12. Termination

User Termination: You may discontinue use and delete your account at any time through the Service or by contacting support.

Company Termination: The Company may suspend or terminate your access immediately without notice for any reason, including violation of these terms.

Effects: Upon termination, your access to the Service ceases immediately and account data is deleted in accordance with our Privacy Policy.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law provisions. Any disputes shall be resolved through binding arbitration in accordance with applicable rules.

14. Changes to Terms

The Company may modify these terms at any time. Users will be notified of changes through the Service or via email. Continued use after changes indicates acceptance.

15. Severability

If any provision of these terms is deemed unenforceable, it will be limited to the minimum extent necessary while the remaining terms remain in full effect.
